1. Acceptance of Terms

By accessing or using the Lendshore Capital platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

Lendshore Capital reserves the right to modify these Terms at any time. We will notify users of any material changes via email or through the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

2. Platform Description

Lendshore Capital is a marketplace platform that connects real estate borrowers seeking private financing with accredited lenders looking to fund real estate deals. The Platform facilitates deal discovery, due diligence, and communication between parties.

Important: Lendshore Capital is NOT a lender and does not provide loans directly. All lending decisions and transactions occur between borrowers and lenders on the Platform. Lendshore Capital does not guarantee the performance of any loan or the accuracy of information provided by users.

3. User Eligibility

To use the Platform, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Agree to our Terms of Service and Privacy Policy and confirm you are 18 years of age or older
For lenders: Meet the definition of an "accredited investor" as defined by SEC regulations
Provide accurate and complete registration information

Lendshore Capital reserves the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Notify us immediately of any unauthorized access to your account
Not share your account credentials with any third party
Not create multiple accounts without our express permission

5. Borrower Responsibilities

Borrowers using the Platform agree to:

Provide accurate and truthful information about properties and financing needs
Upload authentic documentation and photographs
Respond promptly to lender inquiries and offers
Complete all required verification processes
Honor accepted offers and proceed in good faith toward closing
Not misrepresent property values, conditions, or financial projections

6. Lender Responsibilities

Lenders using the Platform agree to:

Conduct independent due diligence on all investment opportunities
Self-attest to accredited investor status via the one-time signup checkbox — a self-certification the lender makes, not a step Lendshore Capital performs or a part of our verification process
Submit offers in good faith with intent to fund
Honor accepted offers and proceed toward closing
Comply with all applicable lending laws and regulations
Not engage in predatory lending practices

7. Subscription and Fees

Access to certain features of the Platform requires a paid subscription. Subscription terms:

Subscriptions are billed monthly or annually as selected
All fees are non-refundable except as required by law
Subscription limits (active deals/offers) are enforced based on your plan tier
You may upgrade or downgrade your subscription at any time
Cancellation takes effect at the end of the current billing period

Lendshore Capital may modify pricing with 30 days' notice. Existing subscribers will be notified of any price changes before their next billing cycle.

8. Investment Risks

IMPORTANT RISK DISCLOSURE:

Private real estate loans involve substantial risk of loss
Investments are NOT FDIC insured
Investments are NOT bank guaranteed
Investments MAY LOSE VALUE
Past performance is not indicative of future results
Lendshore Capital does not verify or guarantee information provided by borrowers

Lenders should only invest funds they can afford to lose and should consult with qualified financial and legal advisors before making investment decisions.

9. Prohibited Activities

Users may not:

Provide false, misleading, or fraudulent information
Circumvent Platform fees by conducting transactions outside the Platform
Harass, threaten, or abuse other users
Use the Platform for money laundering or other illegal activities
Scrape, harvest, or collect user data without authorization
Attempt to gain unauthorized access to Platform systems
Interfere with the proper functioning of the Platform
Violate any applicable laws or regulations

10. Intellectual Property

The Platform and its content, features, and functionality are owned by Lendshore Capital and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

By posting content on the Platform, you grant Lendshore Capital a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with operating and promoting the Platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LENDSHORE CAPITAL SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, use, or goodwill
Actions or omissions of other Platform users
The performance or non-performance of any loan
Errors or omissions in information provided by users

Our total liability shall not exceed the amount you paid to Lendshore Capital in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lendshore Capital and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
